After discussion and mutual agreement, the two parties hereby agree to enter into this Vehicle Rental Agreement with Driver ("the Agreement") under the following terms and conditions:
ARTICLE 1: SUBJECT AND SCOPE OF THE AGREEMENT
1.1. Party A agrees to lease a motor vehicle with a driver ("the Vehicle") to Party B, and Party B agrees to rent the Vehicle in accordance with the terms of this Agreement.
1.2. Party A represents and warrants that the leased Vehicle: (a) Possesses all valid documents as required by the laws of Vietnam, including but not limited to: the Vehicle Registration Certificate, the Certificate of Technical Safety and Environmental Protection, and the Certificate of Compulsory Civil Liability Insurance; and (b) Is in good technical condition, safe for operation, and has fulfilled all related tax and fee obligations.
ARTICLE 2: TERM OF THE AGREEMENT
The term of the Agreement shall be determined by the duration of use and the itinerary requested by Party B and confirmed by Party A. Either party may unilaterally terminate this Agreement by providing notice to the other party. In the event of early termination by Party B, Party B is obligated to pay Party A for the costs corresponding to the actual time the Agreement was performed and to compensate for other incurred costs (if any) as agreed.
ARTICLE 3: DRIVER SERVICE AND OPERATIONAL CONTROL
3.1. Driver Service: The vehicle rental always includes a driver provided by Party A. Party A ensures the driver is experienced, holds an appropriate license, and complies with all applicable laws.
3.2. Operational Control: Party B shall have operational control of the Vehicle during the rental period, including providing instructions regarding the route, destinations, and stops within the agreed-upon scope. Party A's driver is obligated to comply with the reasonable and lawful instructions of Party B.
ARTICLE 4: PRICE AND PAYMENT
4.1. The rental price shall be determined based on the duration of use, vehicle type, itinerary, and other factors as agreed upon by the two parties at the time of booking.
4.2. The rental price includes fuel costs sufficient to complete the itinerary, the driver's salary, and basic road tolls. Other expenses such as parking fees at attractions and overnight expenses for the driver (for overnight trips) shall be borne by Party B unless otherwise agreed.
4.3. Payment Method: Party B shall pay Party A in cash or via bank transfer upon completion of the rental period or in installments as agreed.
ARTICLE 5: OBLIGATIONS OF PARTY A (THE LESSOR)
5.1. To deliver the Vehicle and driver to Party B at the agreed time and location.
5.2. To ensure the Vehicle is in perfect mechanical and operational condition, clean, and safe.
5.3. Not to disturb Party B in their use and enjoyment of the service.
5.4. To comply with all applicable legal obligations for a transportation service provider.
ARTICLE 6: OBLIGATIONS OF PARTY B (THE LESSEE)
6.1. To pay the rental price in full as agreed.
6.2. To care for and maintain the Vehicle during the period of use.
6.3. To exhort their companions to make proper use of the Vehicle.
6.4. To use the Vehicle only for lawful purposes and not for transporting dangerous, flammable, contraband, or illegal goods.
6.5. Not to make any repairs or alterations to the Vehicle without the prior express authorization of Party A.
6.6. To take responsibility for their own actions and those of their companions in the vehicle.
6.7. To follow all safety and transportation rules given by the driver and by the traffic authorities.
ARTICLE 7: LIABILITY
7.1. Party A is responsible for any damage to the Vehicle related to technical faults or driver error.
7.2. In the event of an accident, the competent authority will determine fault. Each party shall be responsible for their actions or omissions that cause an accident and for the related legal consequences.
7.3. Party A is not responsible for the loss of personal belongings deposited or stored in the Vehicle by Party B or their companions.
ARTICLE 8: APPLICABLE LAW AND DISPUTE RESOLUTION
8.1. This Agreement shall be governed by and interpreted in accordance with the laws of the Socialist Republic of Vietnam.
8.2. Any dispute or difference related to this Agreement shall be resolved through negotiation. If negotiation fails, the matter will be submitted to a competent court for resolution.
ARTICLE 9: DATA PROTECTION
Party A commits to collecting, storing, and using Party B's personal data (including name, contact information, identification data) solely for the purposes of fulfilling the Agreement, complying with legal obligations, and managing customer records. Party B has rights regarding their personal data as prescribed by law.
ARTICLE 10: EFFECTIVENESS
This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements. The Agreement is understood to be executed and effective on the date Party B confirms the booking and Party A accepts to provide the service.
This Agreement is made in two (02) copies of equal legal validity, with each party retaining one (01) copy.
